End-User License Agreement (EULA)

1. ACCEPTANCE OF TERMS

By accessing or using pnmag.com, bluegoosepartners.com, or any subdomains or affiliated domains, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA. If you do not agree to these terms, do not use pnmag.com or bluegoosepartners.com.

2. LICENSE GRANT

Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to access and use pnmag.com and bluegoosepartners.com for your personal or business use in accordance with the terms of this EULA. The license granted herein shall require you to maintain a valid credit card on file prior to utilizing pnmag.com and bluegoosepartners.com for payment purposes and shall authorize Licensor to bill the credit card at the end of each day where you have used pnmag.com or bluegoosepartners.com for the purchase of Pregnancy & Newborn leads (“Pregnancy & Newborn Leads”). Licensor will charge the credit card on file for the leads sent the previous day at the rate per lead, the current bid or flat fee, for each lead at the time it was submitted. Any requested changes to the licensor's account, including bid changes or termination, should be made in writing at sales@pnmag.com and may take up to 48 business hours to take effect. Licensor will charge the credit card on file for the Pregnancy & Newborn Leads sent the previous day at the rate per lead (the current bid or flat fee) for each lead at the time it was submitted. Any requested changes to User’s account, including bid changes or termination, should be made in writing at sales@pnmag.com and may take up to 48 business hours to take effect.

3. RESTRICTIONS

You may not:

• a. Modify, adapt, translate, reverse engineer, decompile, or disassemble pnmag.com or bluegoosepartners.com.
• b. Use pnmag.com or bluegoosepartners.com for any unlawful purpose or in any way that violates applicable laws or regulations, including without limitation laws governing consumer privacy, and shall indemnify and hold Licensor harmless for the same, including Licensor’s attorney fees and costs.
• c. Attempt to gain unauthorized access to pnmag.com or bluegoosepartners.com or related systems.
• d. Use any automated means to access or use pnmag.com or bluegoosepartners.com without express written consent from Licensor.
• e. Use Pregnancy & Newborn Leads for any other marketing purpose or use other pregnancy and newborn purposes. Any attempt to monetize or otherwise use the Pregnancy & Newborn Leads in way other than the use permitted herein (e.g., the license for a breast pump lead allows for permitted use only as to the breast pump). The improper use of a Pregnancy & Newborn Lead shall be considered unlicensed activity subject to the following penalties: 1. $500.00 for first violation; 2. $1,000.00 for a second violation; and 3. $5,000.00 for a third violation. Licensor, however, reserves the right, in the sole discretion of any of them, to immediately revoke any license granted hereunder at any time.

4. INTELLECTUAL PROPERTY

Pnmag.com and bluegoosepartners.com and respective content, including but not limited to text, graphics, logos, images, and software, are the property of Licensor, or any of them, and protected by intellectual property laws. You agree not to use, reproduce, distribute, or create derivative works based on the content of pnmag.com or bluegoosepartners.com without the express written consent of Licensor.

5. DISCLAIMER OF WARRANTY

Pnmag.com and bluegoosepartners.com are provided "as is" and "as available" without any warranties, either expressed or implied. Licensor does not guarantee the accuracy, completeness, or reliability of any content on pnmag.com or bluegoosepartners.com.

6. LIMITATION OF LIABILITY

In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of pnmag.com or bluegoosepartners.com.

7. TERMINATION

Licensor reserves the right to terminate this EULA and your access to pnmag.com or bluegoosepartners.com at any time, with or without cause, and without notice.

8. GOVERNING LAW

This EULA is governed by the laws of Colorado, without regard to its conflict of law principles.

9. CHANGES TO TERMS

Licensor reserves the right to update or modify this EULA at any time without notice. Your continued use of pnmag.com or bluegoosepartners.com after such changes constitutes your acceptance of the new terms.
